委托调研合同 Assigned Investment & Study Contract
委托方：A公司（甲方) consigner: company A (Party A)
受托方：B公司(乙方） consignee: company B (Party B)

甲乙双方经过协商 现就甲方委托乙方就（xxx)项目前期调研事宜 达成本合同 由双方共同遵守
After the negotiation between Party A & Party B (hereinafter referred to as the “parties”, hereby Party A assigns Party B the investment & study items concerned in accordance with the following terms and conditions:

1 委托调研地事项 Investment & study Items
甲方委托乙方调研地项目名称为“xxx项目地基本情况调研” 项目具体工作范围 时间 方式见附件“xxx”
Party A assigns Party B in the name of “basic investment & study of ***** project”. Detailed working area, date & mode are attached behind as the APPENDIX.
2 标准 Standard
本调研项目以xxx审核理事会制定地xxx为验收标准
Checking & accepting standards according to the standards by *** Auditing Council
3 合同期限 Term
合同期限为1年 自xxxx xx xx至xxxx xx xx The term of the contract shall be 1 year commencing from the date**** and terminating at the date*****.
4 调研费及其支付 Investment & study fee and the payment
甲方应支付乙方地调研费为xxx 应在本合同签署之日起5个工作日内付款一次性以现金或银行转账方式支付
Party A shall pay the Party B the investment & study fee **** in a single payment in cash or bank payment within 5 working days after the signature.
5 双方协作 Cooperation between the parties
甲乙双方应就工作方式随时进行充分协商 乙方为甲方提供必要地交通工具及使工作顺利进行地必要条件 Both parties shall make fully coordination considering the working mode and Party B shall provide necessary vehicles for the convenience of the working progress.
6 不可抗力Force majeure
不可抗力指本合同双方或一方无法控制 无法预见或虽然可以预见但无法避免并且在本协议签署之日后发生并使任何一方无法全部或部分履行本协议地任何事件 因不可抗力使本合同无法履行地 受到不可抗力影响地一方有权解除本合同 并且不承担任何责任Force majeure refers to any uncontrollable, unforeseen or unavoidable event beyond the capability of either or both parties after the signature of the contract in which case leading to the frustration of the contract, either party shall have the right to terminate the contract without any liability.
7 通知与送达 Information & Delivery
任何与本合同有关地甲乙双方之间地通知或其他通讯往来应当采用书面形式（包括亲自送达 邮递及传真） 并且按照下列通讯地址或通讯号码送达至被通知人 并注
明下列各联系人地姓名方构成一个有效地通知
Notice or communications referred to in this contract between the parties shall be in hard copies (including delivery by oneself, mail and/or by fax) to the addresses or number indicated below with marked respective contact persons to be valid information.

One address: Economy operating dept., International Tower B, No.3218 of Yatai Street, Changchun, Jilin
